1) is it legal?
registration of a company in another country, either offshore or just a
foreign one, is legal and authorized by international conventions (La Haye).
Here is an extract of the "décret 92-521 du 16 juin 1992" (free
translation): "A European resident either physical or moral person is
allowed to set up a company in any country without obligation to be tax
resident". 2)
how long does it take to incorporate a US company?
It depends on your needs and emergency of your request.
A US company can be incorporated "normally". The file is filed
with the chosen State (Delaware, Florida...) in arrival order which means we
will not be able to give you any information about the delay (maximum noted:
1 month).
Most of the time, our customers apply for Express Service. We pay a tax to
the Secretary of State get priority treatment. The company is incorporated
within the same day, we receive the Certificate of incorporation within 72
hours and receive originals (certificate, apostille, shares, by-laws,
minute-book...) by express mail within a week. 3)
what are requested document to incorporate a US company?
We provide you with the order file to fill in and sign. It consists of:
estimate, power of attorney (to allow us to incorporate the company for you),
our general terms and an application
form (for you to give us the chosen name of your company, mailing address
for mail forwarding, etc....).
The only personal document we need, once the company is incorporated, is a
copy of your passport to apply for EIN (Employer Identificaiton Number)
which is necessary to take employees on or if you are willing to set up a
business account in the US.
4) what about accounting obligations?
You only have to justify about the company's accounts to the shareholders.
If you incorporate your company as the only shareholder, you have no
accounting obligations to third parties.
NB: as a good manager, this does not exempt you from keeping the accounts
just to know about your financial situation.

will you answer my questions once my company is incorporated?
We are at your disposal to answer your questions regarding the US corporate
and our agreement contains two years of assistance.
Our assistance is not the one of a legal expert, accountant nor tax
consultant.
It is a technical assistance about the management of a US company including
European general rules.
You can ask your question by telephone, fax, e-mail, mail or with an
appointment.
An answer is usually given with the same day. If you ask complex questions,
we might provide you the name and address of a US specialist (lawyer,
certified public accountant...). The fees of these specialists will be at
your charge.
